Outliner
The Outliner 2.0 is a fast and easy to use scene management tool. It has a wide range of features, including selecting, hiding, freezing, linking and grouping objects in the "Hierarchy Mode". In the "Layer Mode" you can organize your scene by dragging&dropping objects from one layer to the other. What's more, the Outliner offers support for nested layers, to manage scenes more efficiently. The interface is nimble enough to keep it open constantly.
Compared to the previous version (1.6.1), there are many improvements. Most notable among them are: hugely increased performance, improved stability, nested layer support and many small tweaks to improve the ease of use. For a list of all changes, click here

I believe this is not
I believe this is not something outliner-specific. So I think you should contact Autodesk about it.
The fact that the Outliner appears 'after' the toolbar after restarting is because it is handled as a script, which is evaluated after the toolbars are opened.
Docking issues
I think I have some docking issues. When I dock Outliner to the left, where I already have one docked toolbar, it doesn't dock in full height:
I have to undock my left toolbar, dock Outliner and then dock back my left toolbar to the right of Outliner:
However, when I close and open Max, Outliner's height gets broken again:
Is this normal? I'm using Outliner v.2.0.97 and Max 2009 SP1 on Win7 x64.

But whats with drag and drop and slowly doubleclick to rename?

...or perhaps the option to not check? :) I checked CPU usage for it and it's super tiny, but for some people like myself, your Outliner has caused me to abandon the Max layer manager entirely, so I'm a user not at risk of outside name changes.

I'm surprised that it causes
I'm surprised that it causes flashing, since it isn't doing all that much. Either way, it is a periodic check of the layer names. Because of 3dsmax limitations, the Outliner cannot catch layer name changes made outside the Outliner, for example by scripts or the standard layer manager.
I was thinking of taking it out, since it is a bit of an ugly workaround, and the gain is small. Maybe I'll get rid of it in the next update.
Layer Mode mouse pointer flashing
Hi there,
The Layer mode now seems to be working a bit in the background to check something. The mouse pointer is flashing it's clock symbol every two seconds.

You're the first one to have reported it at least. And before 2.0.97 there was no limit on the height, but that caused resizing issues when docking too.
Anyway, good that it is resolved now!
Size
Yup, that fixed it. Thanks.
To clarify what I meant:
Using outliner as a floating window, would not let me adjust its height as far as I would like (height of the maximized viewport). It just stoppet at some value (as you later mentioned). This resulted in it being the same height when docked, with lots of wasted gray space at the bottom. Since no one else has had this problem, am I the only one using a 30 inch screen? (2560x1600 pixels)

I've adjusted the current version a bit so the max height is much larger. Could you try downloading and installing it over your current installation and see if that resolves the issue?
